Terms of Service

These Terms of Service ("Terms") govern your access to and use of the augustgraceadvisory.com website and the AG Commercial Intelligence Platform (collectively, the "Services") provided by August Grace Advisory, LLC ("August Grace," "we," "us," or "our"). By accessing the Services, you agree to these Terms.
1. Nature of Services
August Grace provides strategic advisory and business intelligence services. Information available through the Services, including our website and the AG Commercial Intelligence Platform, is provided for the general information and internal use of authorized clients and contractors. Nothing on the Services constitutes legal, accounting, tax, or investment advice, and no attorney-client or fiduciary relationship is created by your access to or use of the Services.
2. Authorized users
Access to the AG Commercial Intelligence Platform, including SMS-based command and notification features, is limited to firm principals and authorized contractors who have been added to a private allowlist by August Grace. Unauthorized attempts to access, command, or interact with the Platform are prohibited and may violate applicable laws.
3. SMS terms of service
The AG Commercial Intelligence Platform uses SMS text messaging to communicate with authorized users. The following terms apply to all SMS communications:
- Program purpose. SMS messages are used to send operational notifications (for example, signal confirmations, dossier drafts, approval prompts, and status updates) related to your work with the firm.
- Consent. By agreeing to be added to the Platform allowlist, either verbally during onboarding or in writing through a signed engagement letter or contractor agreement, you consent to receive SMS messages from August Grace at the mobile number you provided.
- Message frequency. Message frequency varies based on ongoing engagements and platform activity. Recipients typically receive between one and twenty messages per week.
- Message and data rates. Message and data rates may apply. Contact your mobile carrier for details.
- Opt-out. You may opt out at any time by replying STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any message. To resubscribe, reply START. For assistance, reply HELP or email bg@augustgraceadvisory.com.
- Service availability. We do not guarantee SMS delivery, which depends on mobile carrier networks outside of our control.
4. Acceptable use
You agree not to: (a) attempt to access any part of the Services you are not authorized to access; (b) interfere with the operation of the Services; (c) use the Services to violate any applicable law or the rights of any third party; or (d) submit false, misleading, or unlawful content through the Services.
5. Intellectual property
All content, features, and functionality of the Services, including text, graphics, logos, and software, are the property of August Grace or its licensors and are protected by intellectual property laws.
6. Confidentiality
Information exchanged through the Services in connection with a client or contractor engagement is treated as confidential in accordance with the applicable engagement letter or contractor agreement.
7. Disclaimers
The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of liability
To the fullest extent permitted by law, August Grace is not liable for indirect, incidental, special, consequential, or punitive damages arising from your access to or use of the Services.
9. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Continued use of the Services after such changes constitutes acceptance of the updated Terms.
10. Governing law
These Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws principles. The exclusive venue for any dispute arising out of or relating to these Terms shall be the state and federal courts located in Cuyahoga County, Ohio.
